A. GENERAL PROVISIONS
The following provisions apply to all legal relationships between ParkBee and the Car Park Owner, unless expressly agreed otherwise.
- DEFINITIONS
In these 'General Terms and Conditions for Car Park Owners' and the Agreement, the following terms (written with a capital letter) will have the following meaning, both in singular and plural form, unless expressly stated otherwise:
- Agreement - the agreement (where relevant including appendices and/or addendum(s)) between ParkBee and Car Park Owner for making the Parking Space available to Parkers, Community Managers and Community Members;
- ANPR Camera - Automatic Number Plate Recognition, number plate recognition via a camera that is either made available by ParkBee to the Car Park Owner or is already in use by the Car Park Owner;
- Available Period - the period specified by the Car Park Owner via the ParkBee Portal during which the Parking Space is available for use by Parkers, the period may differ per day and per hour;
- Car Park Owner - the contracting party of ParkBee in the Agreement and the party entitled to the Parking Space;
- Community Manager - the person or persons designated by the tenant of the Car Park Owner who can create, modify, and delete Community Members within the available Parking Space;
- Community Member - the employee or visitor of a tenant of the Car Park Owner who parks using access provided by the Community Manager. Access is provided by means of a web link, an app (whereby the most recent smartphone version is supported), ANPR camera or otherwise;
- Community or Communities - a service from ParkBee that enables Car Park Owners to grant tenants of the Car Park Owner access to the Parking Space via a separate application, ANPR camera or in another manner authorised by ParkBee;
- Installation Fee - the one-time fee for installing the relevant ParkBee systems, including the ParkBee Smart Technology and relevant software at a Car Park Owner's location, as described in clause 7.1;
- Licence Fee - the monthly fee for (i) the use of the ParkBee Smart Technology, if applicable, ANPR camera and/or related software, (ii) maintaining the ParkBee Smart Technology and/or (iii) availability of the ParkBee Portal;
- Live Date - the first day of the month following the month in which the ParkBee Smart Technology was installed at the Parking Space;
- ParkBee - ParkBee Limited, a private limited company with its registered address at Fora - Borough, 180 Borough High Street, London, England, SE1 1LB and registered with the Companies House under number 10130303;
- ParkBee Charges - fees that accrue exclusively to ParkBee, being service costs and a marketplace fee, which are charged to Parkers and/or Providers for executing transactions via ParkBee;
- ParkBee Fee - the fee(s) agreed between the Parties in the Agreement which are payable by the Car Park Owner to ParkBee;
- ParkBee Portal - ParkBee's online portal that gives designated representatives of the Car Park Owner access to the Agreement, information about the performance of the Parking Space, enables them to communicate with ParkBee and set up the Parking Space;
- ParkBee Smart Technology - the hardware that, by linking it to the Car Park Owner's equipment, enables ParkBee to provide remote access to the Parking Space, among other things;
- Parker(s) - the end users designated by or on behalf of ParkBee who will be or have been enabled under the Agreement to park their vehicle in the Parking Space on a pay-per-minute or prepaid basis ("PPM Parkers") and/or customers of ParkBee and end users authorised by these customers, who are entitled under the Agreement to park their vehicle in the Parking Space based on a subscription ("Subscription Parkers");
- Parking Fine - a monetary penalty imposed by the relevant authorities on a Parker for non-compliance with applicable parking rules or regulations;
- Parking Revenue - the Parking Tariff minus the ParkBee Charges;
- Parking Service - the service provided by ParkBee by offering a platform through which Parkers use the Parking Space made available by the Car Park Owner;
- Parking Space - Parking Space made available by the Car Park Owner via the ParkBee Portal at the address as included in the Agreement;
- Parking Tariff - the parking fee (excluding VAT) that Parkers pay for the use of the Parking Space (hourly rate times parking duration and/or subscription costs);
- Partnerships - the cooperation whereby existing systems of the Car Park Owner are used.
- Party(ies) - ParkBee and/or Car Park Owner and a Party means one of them; and
- Provider(s) - provider(s) of mobile applications, websites, or other means by which Parkers are navigated to available parking spaces and can pay for parking and with whom ParkBee has concluded agreements;
- GENERAL
- These 'General Terms and Conditions for Car Park Owners' apply to every Agreement concluded between ParkBee and Car Park Owner as well as to every quotation issued by ParkBee to Car Park Owner.
- The applicability of any general terms and conditions/purchasing conditions of Car Park Owner is hereby expressly rejected.
- Car Park Owner guarantees to ParkBee that concluding the Agreement nor performing the obligations arising therefrom is in conflict with any other agreement or legal relationship to which the Car Park Owner is a party. Car Park Owner indemnifies ParkBee for possible consequences in case of non-compliance with this guarantee.
- Parties declare to comply with all applicable laws and regulations in their applicable jurisdiction(s) when performing this Agreement.
- RIGHTS AND OBLIGATIONS CAR PARK OWNER
- The Car Park Owner shall ensure that the Parking Space is accessible and available to Parkers during the Available Period as indicated by the Car Park Owner via the ParkBee Portal.
- The Car Park Owner is at all times entitled to amend the Available Period of the Parking Space for PPM Parkers via the ParkBee Portal, which change will be implemented by ParkBee as soon as possible but at the latest within 24 hours. Changes to the Available Period have no effect on existing reservations. In case the Available Period is set to weekend days, this shall include public holidays.
- The Car Park Owner is at all times entitled to change the Available Period of the Parking Space for Subscription Parkers via the ParkBee Portal, by means of prior written notice to ParkBee issued before the end of a month, such change will be implemented by ParkBee within one (1) calendar month after receipt by ParkBee of the aforementioned notice.
- The Car Park Owner grants ParkBee (and, after notification thereof by ParkBee, to third parties designated by ParkBee) permanent and unlimited access to the Parking Space. ParkBee is entitled to install technical provisions to protect its equipment, including the ParkBee Smart Technology.
- The Car Park Owner is obliged to maintain the Parking Space in good condition, so that it remains clean, safe, accessible, and operational for Parkers, whilst maintaining the brand identity and good name of Car Park Owner and ParkBee. This includes at least regularly inspecting and maintaining the structure and installations, as well as ensuring the hygiene and cleanliness of the Parking Space, including the maintenance of own hardware and software that, via the ParkBee Smart Technology, are linked to the ParkBee Portal.
- The Car Park Owner shall ensure a properly functioning parking barrier, gate, or other form of access control at the Parking Space and is responsible for any damage to third parties as a result of improper functioning thereof. The Car Park Owner indemnifies ParkBee for claims from third parties due to damage caused by a parking barrier, gate, or other form of access control in the Car Park Owner's Parking Space.
- Any defects, faults or damage must be repaired by Car Park Owner without delay, so that the proper functioning of the Parking Space is not impeded.
- In case of problems with the access control system of a Parking Space reported by Parkers, ParkBee will inform the Car Park Owner about this as soon as reasonably possible. The Car Park Owner will then do everything possible to remedy the incident without delay. If necessary, the Car Park Owner will contact the supplier of the access control system as soon as possible to remedy the incident.
- The Car Park Owner is responsible for complying with all relevant laws and regulations, including fire safety and environmental requirements. Car Park Owner is responsible for cleaning and associated cleaning costs, payment of property tax (both tenant and landlord portions), service costs of the Parking Space made available and any other (management) costs.
- The Car Park Owner warrants that he is authorised to make the Parking Space available to Parkers during the Available Period via the ParkBee Portal.
- RIGHTS AND OBLIGATIONS PARKBEE
- In case of non-compliance by Car Park Owner with an obligation applicable to him arising from the Agreement or these General Terms and Conditions for Car Park Owners (including but not limited to clause 3.5), ParkBee will notify Car Park Owner thereof, whereby Car Park Owner is granted a reasonable period to resolve such non-compliance, unless granting such a period cannot reasonably be required of ParkBee in view of the relevant non-compliance. If within the reasonable period granted by ParkBee the obligation is still not, not properly or not timely fulfilled by Car Park Owner, ParkBee is entitled, at its own discretion, to temporarily reduce or completely suspend the Available Period of a Parking Space at any time during a period to be determined by ParkBee, without prejudice to ParkBee's other rights in accordance with the Agreement and these General Terms and Conditions for Car Park Owners.
- ParkBee is entitled to place signs or otherwise provide directions at and/or in the Parking Space for the purpose of providing directions (including zone and service numbers) and/or to make known to the Parker conditions for the use of the Parking Space.
- The Parking Tariff is determined exclusively and at ParkBee's own discretion in a dynamic manner to optimise income for Car Park Owner and ParkBee. This provision does not apply in case of Partnerships.
- ParkBee is entitled to take enforcement action against Parkers in case of use by a Parker of the Parking Space outside the Available Period. Car Park Owner is authorised to request ParkBee to take enforcement action against Community Members.
- ParkBee is entitled to use services of third parties to perform the Agreement or exercise its rights, including but not limited to collecting the Parking Tariff and Parking Fines and enforcement in case of unauthorised or improper use of the Parking Space. If ParkBee engages a third party, the Car Park Owner already now for then declares that he authorises the party to be designated by ParkBee as his representative with regard to the Parking Space and the Car Park Owner more specifically gives permission that the relevant third party may collect the Parking Tariff and any Parking Fines with regard to the Parking Spaces.
- ParkBee has the right to publicly announce that Car Park Owner is a customer of ParkBee. During the term of the Agreement, the Car Park Owner permits ParkBee to use the location details, trade name and logo of Car Park Owner in promotional material and on ParkBee's public websites, unless otherwise agreed in writing. Car Park Owner will at all times remain the rights holder of any trade names or (registered) logos used by ParkBee.
- ParkBee will provide the Car Park Owner and, if applicable, Community Manager and Community members with customer service. In case of inaccessibility of the Parking Space due to problems with systems delivered by ParkBee, ParkBee is available for support 24 hours a day, 7 days a week and shall act as quickly as possible after the problem has been reported to remedy such problem. Structural solution proposals are provided within 48 hours.
- COMMUNITIES
- Car Park Owner can create Communities in the ParkBee Portal. The Car Park Owner is responsible for allocating the Parking Space for its community and appointing Community Manager(s) to manage the Parking Space.
- ParkBee and Community Managers can, without Car Park Owner, make further arrangements about expansion of the Community.
- The number of Community Members per location can be smaller than or equal to the total capacity of the Parking Space. In that case, Community Managers can add additional Community Members upon request against payment of an additional "member fee", this is an additional functionality that ParkBee offers directly to tenants without involvement of the Car Park Owner.
- The assigned Community Managers are responsible for managing their respective Communities and controlling Community Guests.
- ParkBee cannot be held responsible in case of under- or oversupply of Community Members in relation to the allocated Parking Space and excludes all liability therefor.
- The Car Park Owner grants ParkBee the possibility to further optimise vacancy with additional empty parking spaces at the Parking Space that have been identified via garage occupancy data.
- EXCLUSIVITY
- Car Park Owner will not enter into cooperation agreements (and shall not enter into such negotiations) with another party that offers similar services as ParkBee during the term of the Agreement, with the exception of Communities-related services.
- PARKBEE FEE AND COSTS
- For the implementation and installation of the ParkBee Smart Technology and related software, ParkBee signage, creating the online garage page and/or registration of the garage with all Providers, a one-time Installation Fee and monthly Licence Fee per Parking Space may be charged to the Car Park Owner in accordance with the Agreement.
- When using the Parking Service, the Installation Fee shall be set off against payments that ParkBee owes to the Car Park Owner. If such set off has not been possible within 12 months, ParkBee will charge the costs to Car Park Owner via separate invoice.
- If ParkBee will not make payments to Car Park Owner during the term of the Agreement, the Installation Fee will be charged to the Car Park Owner via invoice at the start of the Agreement.
- ParkBee will provide the Car Park Owner with an overview of (i) the number of Parkers that have used the Parking Space, (ii) the Parking Revenue and (iii) the ParkBee Fee to be deducted therefrom regarding the previous calendar month, at the latest 21 days after the end of a calendar month, or later, if ParkBee deems there to be a reason to do so.
- ParkBee will pay the Car Park Owner an amount equal to the Parking Revenue collected in that calendar month, according to the agreed distribution, increased by the Parking Fines and reduced by the agreed ParkBee Fee, including the Licence Fee, at the latest 30 days after the end of a calendar month. ParkBee will prepare an invoice for the Car Park Owner for this purpose, making use of self-billing. This clause 7.5 leaves unaffected ParkBee's rights to set off the amounts as referred to in this clause 7. The Licence Fee is due from the Live Date.
- ParkBee may from time to time provide information about expected Parking Revenue in a certain period. The Car Park Owner acknowledges that no rights can be derived from any such information and that such information will not bind ParkBee in any way.
- ParkBee's records shall be conclusive unless convincing evidence to the contrary is provided.
- ParkBee charges the ParkBee Charges to Parkers and Providers. The ParkBee Charges accrue exclusively to ParkBee. ParkBee is entitled to adjust the ParkBee Charges at any time.
- ParkBee reserves the right to offset any deviations to fees, should they occur, for Car Park Owner.
- The ParkBee Fee (including the Installation Fee and the Licence Fee) shall, for each year, be as published or otherwise communicated in writing to Car Park Owner by ParkBee.
- ParkBee is entitled to adjust the Installation and/or Licence Fee annually per 1 January. ParkBee shall publish the new prices three months before their effective date and shall inform the Car Park Owner accordingly.
- Unless otherwise stated, all fees (including the ParkBee Fee, Installation Fee and the Licence Fee) included in these General Terms and Conditions for Car Park Owners are exclusive of VAT and any other charges imposed by government and in GBP.
- TERM AND TERMINATION
- The Agreement commences on the date as included in the Agreement and is effective until the moment of termination in accordance with this clause 8.
- Subject to the provisions in clause 8.3, both ParkBee and the Car Park Owner can terminate the Agreement in writing at any time against the end of a month, observing a notice period of at least three (3) months, by sending an email to the relevant contact person.
- During the first twelve (12) months after the Live Date, Car Park Owner cannot terminate the Agreement in accordance with clause 8.2.
- Notwithstanding the provisions in clauses 8.2 and 8.3, each Party is entitled to terminate the Agreement, wholly or partially, with immediate effect and without any notice or default notice by means of written notice to the other Party, if: (a) the other Party enters administration, liquidation, or becomes insolvent or is declared bankrupt, is granted (whether or not provisional) suspension of payments or has otherwise lost free management or free disposal of its assets, including in case of liquidation or cessation of business, all regardless of whether that situation is irrevocable; (b) in case a Party enters into a voluntary arrangement with its creditors (c) the other Party fails to comply, complies improperly or fails to comply timely with any obligation under the Agreement and, unless there is immediate default or performance is permanently or temporarily impossible, within a reasonable period after written notice of default (containing a description of the shortcoming as detailed as possible) the obligation is still not, not properly or not timely fulfilled and provided the shortcoming justifies the termination; and/or (d) the other Party declares that it will not, not properly or not timely fulfil a material obligation, or this can be inferred from an act of that Party, and this justifies the termination.
- In case of a change in control of a Party, the Agreement remains in effect, unaffected and unchanged. A change in control means at least a change in control of a party, whereby 50% or more of the shares, voting rights or assets transfer to another party.
- LIABILITY
The attention of the Car Park Owner is specifically drawn to this clause 9.
- If and to the extent that ParkBee is liable, for whatever reason, its total liability will always be limited to compensation for direct damage as a result of an attributable shortcoming in the performance of the Agreement, whereby ParkBee's liability is limited to the lower of an amount equal to the ParkBee Fee under the Agreement that relates to the period of six (6) full calendar months immediately preceding the damage-causing fact or the amount that is paid out in the relevant case under ParkBee's applicable liability insurance. Information regarding ParkBee's liability insurance is available upon request.
- Direct damage as referred to in 9.1 is exclusively understood to mean (a) the reasonable costs for establishing the cause and extent of the damage mentioned under part b of this clause; (b) any property damage; (c) the possible reasonable costs incurred to make ParkBee's failed performance comply with the Agreement, unless these cannot be attributed to ParkBee; and (d) reasonable costs incurred to prevent or limit damage mentioned under part b of this clause, insofar as the Car Park Owner demonstrates that these costs have led to limitation of direct damage.
- ParkBee is in no case liable for indirect damage, including but not limited to: consequential damage, lost profits, missed savings, damage due to business stagnation and reputational damage.
- In case the Car Park Owner manages the Parking Space on behalf of a third party and/or in case the Car Park Owner is not the owner of the Parking Space, the Car Park Owner fully indemnifies ParkBee for claims and related costs from this third party and/or owner that are in any way related to the performance of this Agreement or the use of the Parking Space by Parkers.
- If the Agreement is terminated or dissolved, all claims of ParkBee against Car Park Owner are immediately due and payable.
- Every limitation and exclusion of liability as well as every agreed indemnification in this article also applies for the benefit of Providers.
- OTHER PROVISIONS
- Insofar as Parties process personal data in the context of or as a result of this Agreement, each of the Parties is obliged to comply with applicable (data protection) legislation and -- insofar as legally required -- conclude an appropriate processor agreement. ParkBee's privacy policy available at https://business.parkbee.com/ applies.
- ParkBee's failure to exercise a right accruing to it under or in connection with the Agreement and these General Terms and Conditions for Car Park Owners (which also includes granting extensions by ParkBee to the Car Park Owner to fulfil its obligations under or in connection with this Agreement) does not constitute a waiver of that right and does not lead to forfeiture of rights.
- The failure by one of the Parties to demand performance of any provision within a period mentioned in the Agreement does not affect the right to still demand performance, unless the relevant Party has expressly and in writing consented to the non-performance.
- Business confidential information, know-how and commercial information that a Party obtains or sees under the Agreement must be treated confidentially on a 'need-to-know' basis and not be provided to third parties or personnel who have no interest in that information, unless to the extent that information is (has become) public without intervention by a Party or if a third party is a subcontractor or supplier involved in the performance of the Agreement, and sharing information with that third party is necessary for the proper performance of their duties.
- If one, several or parts of provisions of the Agreement or the General Terms and Conditions for Car Park Owners are void or annulled, the other provisions remain in full force and effect and Parties will consultatively establish a replacement provision that approaches as much as possible the purpose and purport of the void or annulled (part of the) provision and that is not void or voidable.
- A Party may not transfer the Agreement and/or rights and/or obligations arising therefrom to another party without written consent of the other Party, which consent will not be conditioned, withheld, or delayed on unreasonable grounds. ParkBee is entitled to transfer the Agreement and/or rights and/or obligations arising from the Agreement at any time and without prior consent to one of its group companies. Insofar as cooperation of Car Park Owner is legally required, that cooperation is given by entering into the Agreement and Car Park Owner undertakes to cooperate with the relevant transfer intended by ParkBee.
- Insofar as the Agreement involves the provision of services by ParkBee, it only has the character of an obligation to use best efforts, not an obligation to achieve specific results. ParkBee provides no guarantees to Car Park Owner when providing services, unless expressly agreed otherwise in writing.
- Any (delivery) term(s) or other dates communicated to Car Park Owner are only intended as target dates, unless expressly agreed otherwise in writing.
- ParkBee has the right to unilaterally amend these General Terms and Conditions for Car Park Owners, which amendments will take effect after ParkBee has announced the amendments to Car Park Owner or at a moment thereafter determined by ParkBee.
- The laws of England and Wales apply exclusively to these General Terms and Conditions for Car Park Owners.
- After the occurrence of a dispute between Parties, the courts of England and Wales are exclusively competent to take cognisance of disputes arising from or connected with the Agreement and/or the General Terms and Conditions for Car Park Owners.
B. PARKBEE SMART TECHNOLOGY AND ANPR CAMERAS
The following provisions apply if ParkBee lends the ParkBee Smart Technology and/or ANPR cameras to the Car Park Owner, unless expressly agreed otherwise.
- LOAN OF PARKBEE SMART TECHNOLOGY AND PARKBEE PORTAL
- ParkBee will lend the ParkBee Smart Technology to Car Park Owner. ParkBee will arrange for the installation and configuration of the ParkBee Smart Technology and related software, for which the Installation Fee is charged once in accordance with clause 7.
- The ParkBee Smart Technology is and remains the property of ParkBee during the term of the Agreement. Upon termination of the Agreement or at ParkBee's request, Car Park Owner will immediately return the ParkBee Smart Technology to ParkBee or grant ParkBee access to disconnect and take possession of the ParkBee Smart Technology at ParkBee's expense (whether or not through a third party designated by ParkBee).
- The ParkBee Smart Technology may not and cannot be alienated, pledged, or otherwise encumbered by the Car Park Owner. This article has proprietary effect. Car Park Owner will furthermore not make or have made any changes to the ParkBee Smart Technology or have repairs carried out thereto by anyone other than ParkBee or a third party designated by ParkBee.
- LOAN OF ANPR CAMERAS
- ParkBee can lend one or more ANPR camera(s) to the Car Park Owner. ParkBee arranges for installation and configuration of the ANPR camera. ParkBee is entitled to charge an Installation Fee once to Car Park Owner in accordance with clause 7 and the Agreement.
- After signing the Agreement, ParkBee will send the Car Park Owner a rollout plan for the implementation and installation of the ParkBee Smart Technology and ANPR camera. Parties will make efforts to carry out the implementation and installation in accordance with such rollout plan. If at any time the rollout plan proves unfeasible, Parties will consult to have the implementation and installation of the ParkBee Smart Technology and ANPR camera take place as quickly as reasonably possible.
- The ANPR camera is the property of ParkBee or is made available to ParkBee by a third party. The ANPR camera will never become the property of Car Park Owner during the term of the Agreement. The ANPR camera may not and cannot be alienated, pledged, or otherwise encumbered by the Car Park Owner. This article has proprietary effect.
- Upon termination of the Agreement or at the first written request of ParkBee, Car Park Owner will immediately return the ANPR camera to ParkBee or grant ParkBee (whether or not through a third party designated by ParkBee) access to disconnect and take possession of the ANPR camera at ParkBee's expense.
- Car Park Owner will not make or have made any changes to the ANPR camera or have repairs carried out thereto by anyone other than ParkBee or a party designated by ParkBee.
- ParkBee is responsible during the term of the Agreement and will bear the costs for usual maintenance and repair of defective parts of the ANPR camera installed at the Parking Space, without costs for the Car Park Owner. The Car Park Owner is responsible and will bear the costs for replacing wear parts or in case of defects that are the result of improper use, negligence, excessive vandalism (which will be the case with more than 3 repairs per calendar year as a result of vandalism) and/or unauthorised modifications to the ANPR camera by the Car Park Owner, its tenants or the Parkers.
- Maintenance activities may require downtime. In case downtime is required, ParkBee will inform the Car Park Owner about the planned maintenance work within a reasonable time in advance.
- ParkBee is not responsible for any downtime of ANPR cameras as a result of power outages, vandalism to the ANPR camera, malfunctions, maintenance activities, acts or omissions of Car Park Owner, natural disasters, government measures, or force majeure. Any downtime will be remedied by ParkBee as soon as reasonably possible.
- ParkBee will monitor, handle, and respond adequately to incidents arising from ParkBee Smart Technology, ANPR camera and/or related software delivered by ParkBee.
- Car Park Owner acknowledges that ParkBee has the user rights to use the ParkBee Portal, the Community and the ParkBee Smart Technology, including any ANPR camera, and that ParkBee is and remains the owner/rights holder of all data related to and/or generated with the use of the ParkBee Portal, the Community and the ParkBee Smart Technology including any ANPR camera including, but not limited to, all intellectual property rights that exist or will arise in connection therewith.
- Insofar as a (further) deed would be required at any time for the transfer of the rights referred to in clause 12.9, Car Park Owner already now for then irrevocably authorises ParkBee to draw up such deed and sign it also on behalf of Car Park Owner, without prejudice to Car Park Owner's obligation to cooperate with the transfer of these rights at ParkBee's first request, without being able to impose conditions.
- ParkBee hereby grants the Car Park Owner a personal, non-exclusive, non-transferable, royalty-free licence during the term of the Agreement to use the ParkBee Portal, Community and the ParkBee Smart Technology including any ANPR camera, all exclusively in the context of performing the Agreement.
- The Car Park Owner will not sell, resell, license, sub-license, distribute, make available, rent, or lease the ParkBee Portal and/or Community to third parties (or enter into any obligation to do so) without prior express written approval from ParkBee.
- If a tenant or visitor of Car Park Owner in any way causes damage to an ANPR camera, Parties will provide all necessary cooperation to each other to recover the damage from the relevant tenant or person, this may include the provision of personal information by Car Park Owner.
- All electricity costs related to the power supply of the ANPR cameras are for the account of the Car Park Owner from the moment of installation.
C. PARTNERSHIPS
The following provisions only apply to Partnerships, unless expressly agreed otherwise.
- PARTNERSHIPS
- When entering into a Partnership, the Car Park Owner grants ParkBee access to and the right to use existing parking systems and infrastructure (including but not limited to ANPR cameras), so that ParkBee can integrate the necessary applications for the Parking Service.
- The Car Park Owner remains responsible for the maintenance and operational support of the existing systems. Any malfunctions or defects must be remedied immediately by the Car Park Owner.
- All data collected via the Car Park Owner's systems remain the property of the Car Park Owner, unless otherwise agreed. ParkBee has the right to use this data for operational purposes and reporting.
- Parties both bear their own costs for maintaining and maintaining their systems.
